Terms of Service

1. Acceptance of Terms
By accessing or using the Verdica platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. We may update these Terms from time to time; continued use after changes constitutes acceptance.
2. Description of Services
Verdica provides trust scores and regulatory data for entities in regulated industries. Scores are calculated from publicly available government data sources. The Service includes a web application, API access (where applicable), and related tools for searching, monitoring, and exporting regulatory information.
3. Accounts
You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials. You must notify us immediately of any unauthorized access. We reserve the right to suspend or terminate accounts that violate these Terms.
4. Subscriptions & Billing
Some features require a paid subscription. Subscriptions renew automatically unless cancelled before the renewal date. Prices are subject to change with 30 days' notice. Refunds are handled in accordance with our refund policy. All fees are non-refundable except where required by law or as explicitly stated.
5. Data Accuracy Disclaimer
Verdica scores are derived from publicly available government records and are provided for informational purposes only. Scores are not guarantees of an entity's trustworthiness, financial stability, or regulatory compliance. We make reasonable efforts to keep data current and accurate, but we do not warrant that all information is complete, current, or error-free. You should not rely solely on Verdica scores for business, legal, or financial decisions.
6. Acceptable Use
You agree not to: scrape, crawl, or use automated tools to extract data from the Service beyond authorized API usage; attempt to reverse-engineer scoring algorithms; misrepresent Verdica data or scores; use the Service for any unlawful purpose; or interfere with the operation of the Service.
7. Intellectual Property
The Service, including its design, scoring methodology, software, and branding, is owned by Verdica and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Service without our prior written consent.
8. Limitation of Liability
To the maximum extent permitted by law, Verdica shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from your use of the Service. Our total liability for any claim shall not exceed the amount you paid us in the 12 months preceding the claim.
9. Indemnification
You agree to indemnify and hold harmless Verdica, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service or violation of these Terms.
10. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including limitation of liability, indemnification, and dispute resolution) will survive.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any legal action arising out of these Terms shall be brought exclusively in the federal or state courts located in Delaware.
